Welcome to Landtrix. These Terms of Service ("Terms") govern your access to and use of the Landtrix mobile application, website, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Platform, you confirm that you:

• Are at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Will comply with these Terms and all applicable laws and regulations in Nigeria
• Are not prohibited from using the Platform under Nigerian law

2. Description of Services

Landtrix provides a digital platform that enables users to:

• Browse and discover land investment opportunities in Nigeria
• Purchase fractional ownership interests in land parcels
• Track and manage their land investment portfolio
• Trade fractional land interests with other users on the marketplace
• Convert accumulated fractional interests into full land ownership

Landtrix acts as a technology platform facilitating transactions between buyers and sellers. We do not provide financial, legal, or investment advice.

3. Account Registration

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Complete any required identity verification (KYC) procedures
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4. Land Transactions

When purchasing land or fractional interests through Landtrix:

• All prices are displayed in Nigerian Naira (NGN) unless otherwise stated
• Purchases are subject to availability and verification
• Land titles and documentation are verified through our due diligence process
• Transfer of ownership rights is subject to completion of payment and regulatory requirements
• Fractional ownership interests represent proportional rights to the underlying land asset

5. Marketplace Trading

When using the Landtrix marketplace:

• All listings must accurately represent the fractional interests being offered
• Sellers must have clear ownership of the interests they list
• Transaction fees may apply to marketplace trades
• Landtrix reserves the right to cancel transactions that violate these Terms

6. Payments and Fees

• All payments are processed through our secure payment partners
• Transaction fees, if applicable, will be disclosed before purchase confirmation
• Refunds are subject to our refund policy and applicable Nigerian consumer protection laws
• You are responsible for any taxes associated with your transactions

7. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or fraudulent activity
• Misrepresent your identity or provide false information
• Interfere with or disrupt the Platform's functionality
• Attempt to gain unauthorized access to other accounts or systems
• Use automated systems or bots to access the Platform
• Engage in market manipulation or deceptive trading practices

8. Intellectual Property

The Platform, including its design, features, content, and technology, is owned by Landtrix and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Disclaimers

• The Platform is provided "as is" without warranties of any kind
• Landtrix does not guarantee investment returns or land value appreciation
• Past performance is not indicative of future results
• Land investments carry inherent risks, including potential loss of value
• We are not responsible for third-party content or services

10. Limitation of Liability

To the maximum extent permitted by Nigerian law, Landtrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any transactions conducted through it.

11. Indemnification

You agree to indemnify and hold harmless Landtrix, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Platform ceases immediately, but provisions regarding ownership, liability, and disputes shall survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the Platform shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the Platform or via email. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
